Follow-Form Umbrella / Excess Liability — What It Means

Whether umbrella limits extend AI status and waivers depends on whether the umbrella 'follows form'.

What it actually does

A "follow-form" umbrella (or excess) policy adopts the terms, conditions, and coverages of the underlying primary policy it sits above — so the additional-insured status, waiver of subrogation, and primary-and-noncontributory treatment granted on the primary CGL flow up into the umbrella limits. A non-follow-form (or "self-contained") umbrella has its own terms and may NOT extend those grants, which means your additional-insured protection could stop at the primary limit.

This is one of the most overlooked gaps in COI verification. A subcontract often requires, say, $5M total limits with AI status — the sub shows a $1M CGL plus a $4M umbrella, and everyone assumes the AI status applies to the full $5M. If the umbrella doesn't follow form, the AI may only have $1M of protection.

When verifying, confirm whether the umbrella follows form over the CGL, whether the required additional insured is also an insured under the umbrella, and whether the umbrella's "schedule of underlying insurance" lists the right CGL. Don't assume umbrella limits carry your AI status without checking.
